Welcome to the services operated by A.A Litan LLC (DBA Cynoculist) ("we," "us," "our," or "the Company"). These Terms of Use ("Terms") govern your access to and use of our marketing website, the Resquest application (resquest.website), and the Cynoculist Online Agile-Audit Management Portal (collectively, the "Services").

You or your company retain all right, title, and interest in and to the data, text, files, information, and other materials you submit, upload, or display on or through the Services ("User Content"). For clarity, any audit evidence and related data uploaded or linked to the Cynoculist Online Agile-Audit Management Portal is and remains the property of your company. We do not claim any ownership rights to your User Content.
By submitting User Content, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, and display such User Content solely for the purpose of operating, providing, and improving the Services to you. This license is necessary for us to display your data within your account and to generate calculations and reports based on your inputs.
The Cynoculist Online Agile-Audit Management Portal may offer features that allow you to integrate your own third-party cloud storage accounts (e.g., providing credentials for AWS S3) to populate and manage audit evidence. When you use such features, you acknowledge that we are acting as your agent and accessing files stored in your third-party account on your behalf and at your direction. We do not take ownership of this content, and our access is governed by the permissions you grant. You are solely responsible for managing your content and the security of your third-party storage credentials.
You represent and warrant that you have all the rights, power, and authority necessary to upload, share, and grant the licenses for any User Content that you provide.
All rights, title, and interest in and to the Services (excluding User Content), including all associated intellectual property rights, are and will remain the exclusive property of A.A Litan LLC and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Nothing in the Terms gives you a right to use the Cynoculist or Resquest name or any of the Company's trademarks, logos, domain names, and other distinctive brand features.
Our Services may integrate with or contain links to third-party websites or services that are not owned or controlled by us (e.g., Google Places API, reservation platforms, ordering platforms). We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
We may suspend or terminate your access to the Services at any time, with or without cause or notice to you, for any reason, including if you violate these Terms. You may also terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, A.A LITAN LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL A.A LITAN LLC, ITS DIRECTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
These Terms shall be governed and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
